1. Operator and scope
These Terms of Service are an agreement between you and TradeSystem LLC ("TradeSystem," "we," "us" or "our"). They govern your general use of TradeSystem, including account, journal, analytics, simulated trading, evaluation and proprietary-trader programme features. A product or simulated trading account may also require you to accept a separate programme agreement and rule set.
2. Eligibility, identity and account security
You must be at least 18 years old and have legal capacity to enter this agreement. You must provide accurate account and eligibility information, including your legal identity and country of residence when requested, and keep it current. You may not create or use an account for another person. You are responsible for protecting your credentials and for activity under your account unless applicable law provides otherwise.
3. Simulated proprietary-trader programmes
TradeSystem may offer paid or unpaid simulated evaluation, qualification and simulated funded-account programmes. Prop accounts inside TradeSystem are simulation accounts. They are not customer brokerage accounts, bank or deposit accounts, securities accounts, or accounts containing customer-owned trading capital. Orders and positions in those programmes are simulated within TradeSystem; customer funds are not deposited with us for investment or traded in a customer brokerage account. Simulated balances are not property owned by you and cannot be withdrawn as account principal.
4. Purchases, fees and refunds
Prices, one-time fees, resets and other product-specific charges are the amounts shown for the product at the time of purchase. Payment may be processed by a third-party payment platform. Payment or provisioning alone does not necessarily activate trading; required eligibility checks and account-specific acceptance may still apply. Refunds and reversals are governed by the Refund Policy, applicable payment-platform requirements and mandatory law.
5. Account-specific programme agreement and rules
Before a Prop account is trading-enabled, TradeSystem may require a separate electronic Prop Program Agreement tied to that account, product and authoritative rule version. The programme agreement and incorporated rules govern the account-specific trading limits, account controls, qualification criteria, prohibited conduct, inactivity, market/session cutoffs, disqualification conditions and Performance Reward terms. If an account-specific agreement directly conflicts with these general Terms on a programme-specific subject, the account-specific agreement controls that subject to the extent permitted by law.
6. Prohibited conduct and account sharing
You may not share, sell, transfer or allow another person to trade or operate an account assigned to you; impersonate another person; evade eligibility, jurisdiction, account or risk controls; manipulate simulated execution, market-data, pricing, timestamps or platform state; exploit defects or latency in a way the programme rules prohibit; use automation or coordinated activity where the applicable rules prohibit it; cross-account hedge where the applicable rules prohibit it; access another user's data; attack, disrupt, scrape, reverse-engineer or circumvent service controls; or use TradeSystem for unlawful activity. TradeSystem may investigate suspicious or abusive activity and may suspend affected access while an investigation is pending.
7. Performance Rewards are conditional contractual benefits
A Performance Reward is not a withdrawal of customer capital and is not a guaranteed trading profit. It is a contractual programme benefit that may become eligible from qualifying simulated performance under the applicable programme agreement. Where a programme provides for a Performance Reward, qualification or accrued eligibility is distinct from cash release. Release may require identity/KYC, tax, jurisdiction, sanctions, fraud and other compliance review described by the applicable programme. A pending compliance review does not by itself rewrite the historical simulated trading record or a qualification state already earned under the applicable rules.
8. No brokerage, investment advice or guarantee
TradeSystem is not your broker or investment adviser for Prop accounts and does not hold customer trading capital for those accounts. Educational material, analytics, risk tools, simulated market data and programme rules are not personalized investment, legal or tax advice and are not a recommendation to buy or sell any financial instrument. 9. Your content and platform records
You retain any rights you have in original notes, screenshots and other content you lawfully submit. You grant TradeSystem the permission reasonably necessary to host, process, reproduce and display that content to operate and secure the service. Platform records generated by the service — including authoritative programme, account, rule, acceptance, order, fill, audit, security and compliance records — may be retained and used to administer, verify and protect the programme subject to applicable law and the Privacy Policy.
10. Intellectual property
TradeSystem and its software, interfaces, documentation, programme materials, branding and other proprietary content are owned by or licensed to TradeSystem. Except for the limited right to use the service under these Terms, no intellectual-property right is transferred to you. You may not copy, resell or commercially exploit protected platform materials except as permitted by us or by law.
11. Availability, market data and simulated execution
TradeSystem depends on software, networks, databases, market-data sources and service providers that may fail, be delayed or become unavailable. Simulated quotes, fills, slippage and order behaviour may differ from live-market execution. We may correct a proven system, data or accounting error in accordance with the applicable programme rules and audit trail. The service is provided on an "as is" and "as available" basis to the extent permitted by applicable law.
12. Jurisdiction, sanctions and service eligibility
TradeSystem may decline, restrict, suspend or review a product, account, transaction or Performance Reward where applicable law, a sanctions requirement, a payment or service provider restriction, or a clearly identified TradeSystem policy prevents or conditions service. Country-code validation by itself is not a legal eligibility decision. We may request additional identity or residence information where reasonably needed to resolve an eligibility review. A confirmed legal prohibition cannot be overridden by an account administrator.
13. Suspension, disqualification and termination
We may suspend or terminate access for a material breach of these Terms, an applicable programme agreement or rule set; fraud, manipulation or account sharing; a security or legal risk; or non-payment where applicable. A programme agreement may separately define account disqualification or inactivity. We may preserve records reasonably necessary for fraud prevention, audits, disputes, accounting, compliance and legal obligations after access ends.
14. Electronic contracting
You agree that contracts, disclosures, notices and acceptances may be provided and completed electronically. Checking an acceptance box or otherwise completing the acceptance flow is intended to identify your assent to the displayed agreement. We may retain the agreement version, authoritative content or content hash, account/product/rule identifiers and acceptance timestamp so the accepted terms can be proven later. Material replacements may require re-acceptance; prior acceptance records are not silently rewritten.
15. Disclaimers and limitation of liability
To the maximum extent permitted by mandatory law, TradeSystem disclaims implied warranties not expressly stated here and is not liable for indirect, incidental, special, exemplary or consequential damages arising from use of the service, including decisions made from educational content, analytics or simulated results. To the maximum extent permitted by law, aggregate liability arising from the service is limited to the amount you paid TradeSystem for the product or service giving rise to the claim during the 12 months before the event giving rise to liability. Nothing in these Terms excludes a right or liability that applicable law does not permit us to exclude or limit.
16. Changes, mandatory law and agreement priority
We may update these Terms prospectively. The current version and effective date will be published on this page, and material changes may require a new electronic acceptance. Mandatory law that cannot lawfully be waived controls over inconsistent contractual language. Product-specific agreements and rule versions remain separately versioned and apply according to their stated scope and precedence.
